VEGU Responder-User License Agreement (Agreement) – v1.0

1. Agreement Overview

This End User License Agreement (“Agreement”) is a legal contract between you (“Responder”, “you”, or “your”) and Mihir Mobile Solutions Inc., the developer and operator of the VEGU platform (“we”, “our”, or “us”), governing your use of the VEGU Responder Portal and associated services.

By registering for or accessing the VEGU Responder Portal, you acknowledge that you have read, understood, and agreed to the terms of this Agreement.

2. Responder Role & Responsibilities

As a designated Responder for your institution:
• You represent your institution in reviewing and responding to user-submitted complaints via VEGU.
• You are responsible for ensuring timely, professional, and appropriate communication within the portal.
• You must not share your login credentials or permit unauthorized access to the Responder Portal.

3. Account Access & Security

You are responsible for:
• Maintaining the confidentiality of your login credentials.
• Ensuring no unauthorized access occurs through your account.
• Notifying VEGU immediately if you suspect your account has been compromised.

All activities performed under your login are deemed to be performed by you and are auditable.

4. Acceptable Use

You agree to use VEGU solely for legitimate institutional complaint handling and communication.
You may not:
• Tamper with system components, access unauthorized areas, or attempt to circumvent privacy measures.
• Export or distribute sensitive complaint data outside of approved institutional processes.
• Engage in any behavior that could be construed as harassment, bias, retaliation, or discrimination.

5. Institutional Affiliation

Your access is contingent upon:
• The continued active status of your affiliated institution in the VEGU ecosystem.
• Your individual status as an authorized Responder.

VEGU reserves the right to revoke access if your institution is suspended or if your actions violate platform policies.

6. Privacy & Data Handling

You may have access to complaints containing sensitive or protected user information.
You agree to:
• Treat all data with confidentiality and in compliance with applicable laws (e.g., FERPA, HIPAA).
• Never copy, export, share, or discuss complaint contents outside of VEGU’s intended workflow.
• Use institutional discretion and professionalism when engaging with submitted complaints.

6-A. Unmasking & Extraordinary Circumstances

🔒 Default Anonymity

User complaints submitted through VEGU are anonymous by default. User identities (name, email, phone number) are never visible to the Responder unless the User voluntarily chooses to unmask themselves.

⚠️ Permitted Exceptions — Extraordinary Circumstances

User identity may be revealed only in documented Extraordinary Circumstances, specifically when:
• There is a life-threatening risk to the User or others in the institution; or
• There is credible evidence of deliberate misuse of the platform by the User.

In these cases:
• A written request must be made by an authorized institutional representative.
• VEGU will assess the request, log the justification, and document the unmasking action.

Unauthorized identity tracing or misuse of identity data will result in revocation of access and may trigger institutional action.

7. Email & OTP Verification

• You understand that OTPs and system alerts will be sent to your registered institutional email.
• You are responsible for maintaining access to that email account to use the VEGU system.

8. Termination & Suspension

VEGU may suspend or terminate your access without notice in the following cases:
• Security violations or unauthorized behavior.
• Inactivity, compromised accounts, or expired institutional affiliation.
• Violation of any clause in this EULA.

9. Warranty Disclaimer

VEGU provides the Responder Portal “as is” and “as available.”
No warranty is provided regarding system availability, performance, or fitness for any specific institutional outcome.

10. Limitation of Liability

To the maximum extent permitted by law, VEGU is not liable for indirect, incidental, or consequential damages resulting from your use of or inability to use the Responder Portal.

11. Modifications

This Agreement may be updated periodically. Continued use of the platform after updates constitutes your acceptance of the revised terms.
